For paid work, the specific scope, deliverables, timeline, fees, and revision rounds are defined in the individual proposal or service agreement signed for each project, and those documents form part of your agreement with us. 2. Using our website You may use this website for lawful purposes only. You agree not to attempt to disrupt, damage, or gain unauthorized access to the website or its systems; not to scrape, crawl, or harvest content or data from the website by automated means without our written permission; and not to misrepresent your identity or affiliation. We may suspend access for conduct that violates these Terms or threatens the security of the site or other users. 3. Quotes, fees, and payment Project fees are quoted in Canadian dollars and are confirmed in writing before work begins. Website projects and campaigns are typically billed in stages — a deposit to begin, milestone payments during production, and a final balance on launch or delivery. Recurring services such as SEO, advertising management, and social media support are billed monthly in advance. Invoices are due on the dates stated on them; overdue amounts may accrue interest at 1.5% per month (19.56% per annum) or the maximum permitted by law, whichever is less. Work may be paused if an account is more than 15 days overdue. 4. Client responsibilities Delivering a project on time depends on timely client input. You agree to provide the content, feedback, approvals, and access (for example, hosting, domain, and analytics credentials) that we reasonably request, within the timelines agreed in your proposal. Delays in client-supplied materials may shift delivery dates accordingly. You confirm that materials you supply — text, images, logos, and brand assets — do not infringe the rights of any third party and that you are authorized to use them. 5. Intellectual property Upon receipt of full payment for a project, you own the final deliverables created specifically for you — such as your website design, copy, and graphics — excluding any pre-existing tools, templates, libraries, or third-party components we use, which remain the property of their owners or of Digitex Crew. Until full payment is received, all work remains the property of Digitex Crew. We retain the right to display completed work in our portfolio and marketing unless you request otherwise in writing. 6. Confidentiality We treat information you share with us — business plans, customer data, unpublished products, and campaign results — as confidential, and we protect it accordingly. This obligation does not apply to information that is already public, independently developed, or required to be disclosed by law. 7. Results and disclaimers We bring experience and care to every engagement, but marketing results depend on factors outside any agency's control — search engine algorithms, competitor activity, advertising costs, and market conditions. Accordingly, we do not guarantee specific rankings, traffic, lead, revenue, or audience outcomes, and nothing on this website constitutes a promise of such results. The information on this website is general in nature, is provided "as is", and does not create a client or professional relationship by itself. 8. Limitation of liability To the maximum extent permitted by law, Digitex Crew's total liability arising from any claim relating to the website or our services is limited to the fees you paid us for the services giving rise to the claim in the twelve months preceding the event. We are not liable for indirect, incidental, special, or consequential damages — including lost profits, lost data, or business interruption — even if we have been advised they are possible. Nothing in these Terms excludes liability that cannot be excluded by law. 9. Indemnification You agree to indemnify and hold Digitex Crew harmless from claims, damages, and expenses (including reasonable legal fees) arising from materials you supply to us, your misuse of the website, or your breach of these Terms. 10. Termination Either party may end a project or recurring service as described in the applicable proposal or agreement, with written notice. Fees for work performed and committed third-party costs up to the termination date remain payable. These Terms and any active proposals survive termination to the extent needed to give them effect. 11. Governing law and disputes These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada, without regard to conflict-of-law rules. Any dispute arising from these Terms or our services will be resolved in the courts located in Toronto, Ontario, unless the parties agree in writing to another forum. The United Nations Convention on Contracts for the International Sale of Goods does not apply. 12. Changes to these Terms We may update these Terms from time to time. The current version is always posted on this page with its "last updated" date. Continued use of the website after an update means you accept the revised Terms. 13.
